1. The Licensed Space
The Licensor holds the Site under a lease which expressly permits the grant of sub-licences and whose permitted use includes container storage, and is accordingly entitled to grant this licence. The Licensor grants the Licensee a personal, non-transferable licence to occupy — × — shipping container(s) ("the Container") at Nutts Corner Enterprise Park, 50 Moira Road, Nutts Corner, BT29 4JL ("the Site") for storage of the Licensee's own goods as described herein. This licence does not create a tenancy or any interest in land.
2. Term and Commencement
This licence commences on — and continues on a monthly rolling basis unless a fixed term of — has been selected. Either party may terminate by giving not less than 30 days' written notice. The Licensor may terminate immediately upon material breach by the Licensee.
3. Licence Fee
The monthly licence fee shall be as confirmed in writing by the Licensor prior to commencement. Fees are payable monthly in advance on the first day of each calendar month, subject to VAT at the prevailing rate. The Licensor reserves the right to review the fee with not less than 30 days' written notice.
4. Security Deposit
4.1 Prior to commencement, the Licensee shall pay a refundable security deposit equivalent to one (1) full month's licence fee ("the Deposit"). Access shall not be granted until the Deposit is received in cleared funds.
4.2 The Deposit is held as security against: (a) unpaid licence fees; (b) damage to the Container beyond fair wear and tear; (c) costs arising from breach of this licence; and (d) costs of removing goods left after termination.
4.3 The Deposit shall be returned within 14 days of the end of the licence, less any lawful deductions, provided the Container is vacated and left clean, and all fees are settled in full.
4.4 The Deposit shall not be used by the Licensee as payment for the final month's rental without the prior written consent of the Licensor.
5. Permitted Use
The Container shall be used solely for storage of: —. Strictly prohibited: hazardous, flammable, toxic, explosive, or illegal materials; firearms; controlled substances; perishables; living creatures; stolen goods. Breach constitutes grounds for immediate termination and forfeiture of the Deposit.
6. Access
Access is permitted during the Site's designated operating hours. The Licensor may suspend access without notice in cases of emergency, security breach, or non-payment. The Licensor may enter the Container with reasonable notice (or without notice in an emergency) for inspection or legal compliance.
7. Security and CCTV
The Site benefits from 24-hour on-site security and CCTV monitoring of common areas. The Licensee is responsible for securing the Container with their own padlock. The Licensor shall not be liable for loss, theft, or damage save where arising from the Licensor's proven negligence.
8. Insurance
The Licensee is solely responsible for insuring their stored goods against all risks. The Licensor's insurance does not extend to the Licensee's goods. Evidence of adequate insurance shall be provided upon reasonable request.
9. Condition and Maintenance
The Licensee accepts the Container in its current condition and shall keep it clean and tidy. No alterations without prior written consent. Damage beyond fair wear and tear shall be made good at the Licensee's expense and may be deducted from the Deposit.
10. Vacating
On termination the Licensee shall remove all goods and leave the Container clean. Items remaining after the termination date may be disposed of at the Licensee's cost. Failure to vacate may result in recovery action, costs charged to the Licensee and deducted from the Deposit.
11. Liability
The Licensor shall not be liable for any loss or damage to the Licensee's goods howsoever arising. The Licensee indemnifies the Licensor against all claims, costs, damages, or losses arising from use of the Container or Site.
12. Governing Law
This licence is governed by the laws of Northern Ireland. The parties submit to the exclusive jurisdiction of the courts of Northern Ireland.
